CoPowr Terms of Service

These Terms of Service ("Terms") apply to your use of copowr.com (the "Site") and to purchases you make on it. The Site is operated by CoPowr LLC, an Arizona limited liability company ("CoPowr," "we," "us"). Questions: hi@copowr.com.

Part A: Using the Site

A1. Who can use it. You must be at least 18. If you use the Site for a company, you confirm you may do so on its behalf.

A2. Acceptable use. Don't: try to get unauthorized access to the Site or our systems; send malicious code or spam through our forms; scrape or bulk-collect content without permission; impersonate anyone or submit someone else's contact details without their permission; or interfere with the Site's operation.

A3. Forms and callback requests. When you request a callback or send an inquiry, you confirm the information is accurate and that the phone number and email are yours or ones you're authorized to give. We'll use them to respond to your request, as described in our Privacy Policy. Callbacks are placed manually by a person. We don't send text messages or use automated dialing unless you separately agree. Sending a form does not create a client relationship or any obligation for either of us.

A4. Content. Site content, including articles, checklists and examples, is general information, not legal, tax, accounting, engineering or other professional advice. Examples and estimates are illustrations, not promises of results.

A5. Intellectual property. The Site, its text, design, graphics, logos and code belong to CoPowr or its licensors. You may view and print pages for your own internal business reference. Anything else (copying, redistributing, modifying or building on them) needs our written permission. "CoPowr" and our logos are our trademarks.

A6. Third-party links and services. Links to other sites are for convenience. We're not responsible for their content or practices.

A7. Disclaimer. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

A8. Limitation of liability for Site use. TO THE FULLEST EXTENT PERMITTED BY LAW, COPOWR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITE, AND OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT USE OF THE SITE (NOT A PURCHASE) IS $100. Liability for purchases is governed by Part B and the Master Services Agreement.

A9. Indemnity. You'll cover our reasonable costs from third-party claims caused by your misuse of the Site or breach of Part A.

A10. Suspension. We may block access to the Site or our forms for anyone who misuses them.

Part B: Buying services online

B1. Business purchases only. Our services are sold only to businesses and organizations for business purposes. When you buy, you do so as the "Authorized Buyer" for the business you name at checkout (the "Client"), and you confirm that you are authorized to bind it. Your account and checkout history are in your name; the contract is with the Client.

B2. What governs your purchase. Every purchase is governed by:

  1. the CoPowr Master Services Agreement in effect at checkout (the "MSA"), which includes limits on liability, warranty terms, data handling and Arizona dispute terms;
  2. the Offer description on the Site at the time of purchase, or the Statement of Work (SOW) ID shown at checkout; and
  3. these Terms.

If they conflict, the MSA controls, then the SOW or Offer description, then these Terms. The current MSA is at copowr.com/legal/msa. Each update shows its effective date, and we keep prior copies on file and will send you the one that applied to your purchase on request.

B3. How you accept. Before you pay, checkout shows the Offer or SOW ID and links to the MSA and these Terms, and a checkbox you must tick to agree. Ticking the box and completing payment is your acceptance of those documents for the Client. For SOWs sent by email, paying the first invoice that names the SOW and the MSA is also acceptance. We email a confirmation with links to the documents you accepted.

B4. Prices and payment. Prices are in U.S. dollars and exclude any applicable taxes. Payments are processed by Stripe; we don't receive or store your full card or bank account number. For invoices of $5,000 or more, ACH and bank transfer carry no fee. If we offer credit-card payment on such an invoice, any surcharge is disclosed before you pay and never applies to debit or prepaid cards. There is no surcharge on online purchases under $5,000.

B5. Starting work. After payment we contact you within 2 Business Days to schedule kickoff and request access. Timelines start when we receive the access listed for the Offer.

B6. Refunds and cancellations.

  • Blueprint: not refundable once kickoff is scheduled, including after delivery. Its full fee is credited to your first build SOW accepted within 60 days after delivery.
  • Quick Fix: if we determine within 2 Business Days after receiving access that the request doesn't qualify, we'll offer the right Offer or refund you in full before build work starts.
  • Other fixed-price Offers: not refundable once kickoff is scheduled, except as the MSA provides. If we cancel, we refund fees for work not yet delivered.
  • Fix Pack Quick Fixes must be used within 6 months after purchase.

B7. Plans renew automatically. Care ($300/month), Priority Care ($900/month) and the Build Plan ($2,400/month) are billed monthly in advance to your saved payment method and renew every month until you cancel. You can cancel at any time from the billing link in your receipt or by emailing hi@copowr.com; cancellation takes effect at the end of the paid month, with no partial refunds. The Build Plan has a 3-month minimum. We'll give 60 days' notice of any price change. Unused plan hours do not roll over.

B8. Chargebacks. Please contact us first; we'll respond within 2 Business Days and try to resolve any billing problem within 10 Business Days.

Part C: General

C1. Privacy. Our Privacy Policy explains how we handle personal information.

C2. Governing law and venue. Arizona law governs these Terms. Disputes go exclusively to the state courts in Maricopa County, Arizona, or the U.S. District Court for the District of Arizona, except that small claims may be brought in a Maricopa County justice court. Disputes about a purchase follow the MSA's dispute section.

C3. Changes. We may update these Terms by posting an update with a new effective date. Changes apply to Site use from the date posted and to purchases made after that date. They do not change the terms of a purchase already made.

C4. Electronic communications. You agree that we may provide agreements, receipts and notices electronically, and that electronic acceptance has the same effect as a signature.

C5. Other. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver. These Terms, the Privacy Policy and, for purchases, the MSA and SOW or Offer description are the entire agreement on their subject.
